POWERS & DUTIES of OFFICERS
The offices of President and Recorder will be nominated and elected for a three year
term initially by the general membership to ensure continuity during this Associations
beginnings, and will revert to biennially (every 2 years) from one administration to the
next thereafter. The offices of Vice-President and Treasurer will be nominated and elected
by the general membership biennially (every 2 years) their terms of office will run from
one administration to the next to maintain continuity. The Bylaws establish the specific
duties of each officer. The removal or resignation of officers shall be in accordance with
the Bylaws.
1. The President shall exercise the powers and perform the duties assigned their
office by the Constitution and Bylaws:
- Serve as the principal representative of the Association in all matters pertaining to
its affairs, particularly in the articulation of its established policies and objectives.
- Guide the policy, philosophy and overall direction of the Association within the
mandates of the Constitution.
- Insure the will of the membership as a whole, within said mandates, is faithfully
reflected in the management and operation of Association affairs.
- Preside over the general membership meeting and election of new officers at the Annual
IDMT Symposium, confer and consult regularly with the Advisor in implementation of
Association policies, submit any unresolved conflicts with the Advisor to the Executive
Group .
- Emphasize formal recognition for those members who make significant contributions to the
Association.
- Appoint Advisor with majority approval of the Executive Group.
- Countersigns checks as needed (when physically available) or authorizes funds approval
telephonic or by e-mail; and in the absence of the Treasurer authority to sign checks is
granted.
- Review the minutes of all meetings and countersigns the minutes, all information
generated by the Association requires review and approval prior to being released.
- Serve as a nonvoting member of those Standing Committees for which appointment authority
exists and Authorized Council as to which status is not otherwise prescribed in the
Constitution or Bylaws.
2. The Vice President elected shall perform such duties as
may be assigned to them by the President, or by the Executive Group within the terms of
the Constitution and Bylaws, and shall perform such other duties as are incident to the
office.
- Assume and perform duties of the President if absent, and succeed to that office in the
event of vacancy.
- Act as Purchasing Agent and assume duties of the Treasurer in the event of a prolonged
absence of the elected Treasurer.
3. The Recorder shall exercise the powers and perform
the duties assigned the office by the Constitution and Bylaws or President.
- Insure the preparation and timely dissemination to all concerned of accurate,
substantive records of the proceedings of the Annual IDMT Symposium, Executive Group
Meetings , and of such other proceedings of which a record shall be ordered by any of said
bodies or by the President.
- Shall verify the presence of a quorum at meetings of the Executive Group by conducting
roll call and documenting representation in minutes.
- Maintain a record of all minutes and policies of the Association.
- Maintain a current listing of all Association members (name, rank, duty location, DSN #,
e-mail address, and mailing address).
- Assist the President in preparation of the agenda for all meetings.
- Forward a copy of all meeting minutes (once approved) to the IDMT Home Page coordinator
for posting to ensure widest dissemination to general membership.
4. The Treasurer shall exercise the powers and perform the duties assigned the
office by the Constitution and Bylaws.
- Receive, deposit, and disperse all funds.
- Co-sign all checks for authorized expenditures with the President and/or Vice-Presidents
counter-signature (if physically available) or their telephonic or e-mail approval.
- Instruct Vice-President on all duties of office, so that these duties may be performed
in their absence.
- Direct the financial affairs of the Association subject to majority vote of Executive
Group.
- Participate in and guide the long-range financial planning of the Association.
- Report financial data relating to Association business.
- Review with the President and submit the proposed operating budgets of the Association,
or revision thereof, to the Executive Group for review and recommendation for approval.
- Provide quarterly financial report to Executive Group and make an annual financial
report at the IDMT Symposium.
- Confer and consult regularly with the President regarding all proposed long-term
obligations of the Association, and submit such proposals to the Executive Group during their quarterly forum.
- Secure an annual audit as described in Article VIII; 1c and Article XI of the
Constitution and Bylaws.
5. Removal and resignation of elected officers will be accomplished and carried
out as identified by this Constitution and Bylaws.
- Removal of an elected officer must be petitioned in writing to the President unless it
is his/her office being petitioned (then the correspondence would go through the
Vice-President). The petition should clearly state the justification for removal. The
President or Vice-President will discuss the proposed removal with the officer(s) and
allow them the opportunity to resign from their office.
- Should the officer resign there will be no mention of the proposed removal action in the
official minutes of any regularly scheduled meeting.
- If the officer in question declines resignation the proposed removal shall be the first
term of business at the next scheduled meeting. The recorder will ensure posting of the
pending removal action on the IDMT Home Page to allow the general membership to cast their
votes. At least two-thirds of the Association membership must vote for the officers
removal to vacate the position.
- In the event of vacancy for the office of President or Treasurer, the Vice-President
will assume his/her duties for the remainder of the term. In the event the Vice-President
or Recorder offices are vacated new nominations will be submitted and elections held, the
winners will serve out the remainder of the term.
